Never Expected to Sell
"I would like to thank you for all your help in assisting us to monetize our AT&T cell tower lease.
We had been approached by several different organizations seeking to buy our leases, but they all seemed in the class of sales‐types seeking to find a way to make a profit off of us. We had developed a policy of saying "Go away ‐ not interested".
Then Lease Advisors contacted us. From the beginning your approach was a little different, but we still said "Go Away," only you didn't. When we said it "was a bad time, we were reviewing the lease" you actually offered to help. So we tested you by asking questions about the cell tower business in general and when you provided clear answers and were obviously knowledgeable about the history and average terms of similar leases, we exploited your willingness and reviewed our current lease and what we might reasonably expect from a renegotiation.
Your advice was very helpful, particularly in the areas of annual increases in rent and the going rental rates. We found that AT&T had been paying us a substantially lower rent than what you indicated was the going rate, and our terms of annual increases were way below industry norms. We would never have known if Lease Advisors hadn't shared the information. You never predicated your help on our being willing to "sell" our lease to you, and never put us under any sense of obligation.
We kept in touch during our negotiations and once the new lease was in place you let us know approximately what it would be worth to you. It was more than we expected. We started inquiring as to what the other companies who were interested in buying our lease would offer.
As we considered our options, we became convinced that technology advances over the next ten years would change the cell phone industry and probably eliminate the need for large cell towers like the one occupying our bell tower. So, we discussed this risk with you because, as Christians, we would not sell Lease Advisors a lease that might become worthless in a few years.
You took the time to explain how your industry had insurance to cover this risk, owned various types of leases, were well aware of this risk, and had factored it into your estimate.
After another company tried to panic us into selling the lease to them by saying AT&T was in the process of terminating leases like ours, and ours was on their list, we decided to get a firm quote from Lease Advisors. You were not only the easiest to deal with, but your offer was significantly better, not only better than other companies were offering, but better than your initial estimate.
We are very satisfied with our arrangement. The paperwork was handled smoothly and professionally, the sale was completed exactly as you indicated it would be.
Thank you very much for your patience over several years as our various committees deliberated. You never seemed to tire of their seemingly endless questions, were always there when we needed answers. We never expected during our first conversation that we would ever sell, but it has been a good decision. We now have an investment that will pay us nearly as much over time as the lease might have, but without any risk of a termination.

"I wanted to take a moment to acknowledge the professional service provided by Rob Korman and Don Ervin. From start to finish, it was a pleasure working with both of you and throughout the process you were prompt to answer questions and return calls.
For many years, I was an active real estate developer with many holdings throughout Florida. Along the way, I acquired two large properties which turned out to be suitable for cell towers. "Thanks for delivering as promised. I'm very happy with my decision to work with Lease Advisors on the sale of my Verizon rooftop lease. It was a pleasure working with Rob Korman who was on top of things and remained communicative from beginning to end.
Several years ago, we sold a similar rooftop lease to a company that has since gone out of business. When Verizon approached us to put a second site on our rooftop, I knew I wanted to sell the new lease and reinvest the lump sum so I began exploring different offers. In the end, I decided the combination of price, terms, and partnership being offered by Lease Advisors would be difficult to match. An agreement was entered into and shortly thereafter, the transaction closed.

"I am writing regarding the tower sale that I just completed with Keith Larson and Lease Advisors for the sale of my Verizon cell site.
I had been in touch with Keith while negotiating this sale for many months and some of his competitors made many representations that were very misleading. "I was on the internet a few months ago and saw the Lease Advisors online advertisement.
Little did I know how things would turn out. I did want a better deal on the tower, which was my desire, but the odds looked against me and the internet disclosed dangers in contracts made with others. I felt lucky to have had the tower on my property since 1986.
Later, when I contacted T Mobile I was basically told “We can move the tower to another location, so don’t give us any trouble” in so many words, "...particularly if you want more money for rent." Lease Advisors ultimately came up with the best deal years later after the tower contract had changed hands repeatedly without anyone making disclosures to me, until each deal was done.It was great to even talk to someone about what was to become of the tower deal. "In 1997, my family leased a portion of our 81 acre property for a cellular tower. Over the years, I’ve resisted countless solicitations to sell our lease. Recently, as multiples have grown due to unprecedented and sustained low interest rates, I decided to sell the lease for tax considerations and long term financial planning. I contacted four companies to create competition and maximize the present day value of the lease.
My request to each of the four companies was simple: Give me your best offer including terms up front with no games. Lease Advisors listened and took my directive seriously. Your offer was the highest, and you were committed to completing the transaction prior to year-end within an extremely tight timeframe. To further complicate things, I discovered, what could have developed into major problem due to time constraints, all copies of the original lease and subsequent extension were missing Exhibit A-1 (survey and legal description of the lease area, access and utility easements). "We enjoyed working with Rob Farrell & Lease Advisors on the purchase of our cell tower parcel.
It was an overall positive experience working closely with their team who proved to be quite professional, efficient, and responsive. The only ‘hitch’ came when we requested a physical check disbursement to occur at the signing table, which we learned is not standard protocol in the tower acquisition business given somewhat unique title review and insurance requirements. Rob and the closing team were however flexible enough to work with us and accommodate our request, resulting in a smooth table closing experience.
Lease Advisors was able to meet our target price, and the entire process from start to finish took only 44 days. The proceeds were split three ways as the interested parties had different goals, one being a tax-deferred 1031 exchange property purchase.

"I understand that you have other clients that may benefit from our experience in setting accumulated financial losses against a capital gain that would result from the sale of telecommunication lease(s) instead of being paid a rental brought forward. I am happy to help provide our personal views on this matter and provide our direct experience to any of your clients that want to convert their long term positions into a cash asset in the form of cash while minimising the taxation that they would ordinarily be subject to under alternative 'normal' arrangements.
We considered the concept of converting long term rental income that incurred a tax liability and completed a Net Present Value of the current income streams from Telstra and Optus over 20 and 40 years and found that we could use the value to grow our farming enterprise better than the annual revenue that we received. Once we had made our decision to sell our leases in Telstra and Optus telecommunication towers it was a matter to better understand the way that the sale could be completed without losing too much of that value in taxation. It was clear to us and our accountant that a substantial portion of the sale proceeds would be lost to the government if we accepted a rental income brought forward. In our case we have accumulated some capital losses that burdened our financial statements and we wanted to offset those accumulated losses against a capital gain that resulted through the sale of our existing leases that are assists.
In order to do that we needed Lease Advisers to recognise that we required the sale of the telecom leases to be executed as a capital sale rathe than bringing forward rental income that would be taxed in the year that it was received. As you know, I am neither a lawyer or accountant but it made complete sense to us to realise a better financial outcome from a capital gain by offsetting it against our accumulated capital losses. In our minds and that of our accountant the process required Lease Advisors to adjust their acquisition model to allow the creation of a Deed of Sale for the capital sum and a concurrent lease that was a servant to the Deed of Sale that leased the assets for $1 per annum on call. While this concept was relatively simple it did require Lease Advisors' legal and accounting team to accept and supper the sale process. I can happily say that your team were up for the challenge after we worked together to better define what we both required from the sale. Lease Advisors required a lease document that would satisfy their legal and insurance requirements and we needed the capital gain that we could offset. After the non legal members (you and me) helped the legal team understand what we were after the sale process moved along.
The key feature that we need to stress is that we found Lease Advisors to be very flexible and receptive to alternative sale processes and at no point was it just too hard and adopt the 'take it or leave' style of negotiation. We really appreciate your approach to the contract negotiation and the supper tho adopt a different model to meet both our needs rather than the usual approach by others. I do understand other views about the "lost" income from the assets once they are sold but your clients would benefit from developing their own Net Present Value and recognise that cash received in 10 or 20 years time with current lease escalation clauses of 3% or 4% is not worth very much in today's terms. Yes, every business must make a profit but at the decision to sell should be based on what the owner of the asset can do with the sale proceeds today and whether they have an accumulated capital losses that they can offset against any capital gain made through the sale to legally reduce their tax burden. Can they develop their farming enterprise to earn more than the lease escalation provisions and approach the discounted cash flow rate required by Lease Advisors? In our case we do believe that we can generate better returns than the 4% escalation that Telstar and Optus included in their leases.
I hope that this provides your potential clients with a view on how they an benefit from a sale to Lease Advisors and also I am happy to highlight how flexible and understanding you and your team were in developing a new approach to the acquisition of our assets. I would be happy to discuss the process that we went through to execute the sale to Lease Advisors with any of your clients to help them in making their decision.

Tale of Two Towers
"My wife and I started with two cell phone towers, a few years ago and decided to sell the lease to one of them. At first, this seemed like a great idea, and things proceeded well… until tax time came. We ended up paying Uncle Sam more than we wanted to.
A few months back, Patrick Lowery called us a couple of times, and we said that we really were not interested in selling the second tower lease. Jokingly, I said, “Unless that is, you can trade the tower for a condo in Florida.” Patrick said, “Actually we can set that up, using a 1031 plan!” And sure enough, Patrick was exactly right!
We found the condo we wanted, set up a closing date, and the holding company sent the funds to purchase the condo. It was that simple, and, best of all, this was all done TAX FREE! Since it was basically a business swap, we did not have to pay taxes from either end of the sale!
We now have the perfect condo! We use it when we want, and rent it out when we are not using it.
Both Patrick and Lease Advisors treated us with respect, and adhered to a commitment of professionalism and honesty. I would not hesitate to use him again, if needed. I would recommend his services to anyone who might have a tower lease.

"I wanted to express my gratitude for the hard work that you and the Lease Advisors’ team put into completing my family’s transaction.
My family and I have been contemplating this transaction since Nov 2012 and dealt with many firms. After we had selected the most attractive purchase contract, the firm told us they would not honor the original offer, offering less; I personally considered it unethical. Fortunately, you were diligent in your follow up contact with us through all of this and when the other firms fell by the wayside one-by-one, you informed me that Lease Advisors could deliver at the price the other firms had originally promised. Naturally, I was skeptical since my previous experiences had resulted in disappointment and empty promises.
We started the closing process with Lease Advisors expecting additional broken promises but hoping for a successful conclusion. We dropped the signed contract package in the Fedex drop box late Friday and Monday morning I expected a call that there were problems, something to delay funding, or the terms could not be met.
On Wednesday my sister called saying I got my check, did you? I said I don’t see how that is possible. 30 minutes later my check was delivered. The entire closing process took 32 days and the funding took only 2 working days. To say the least my family is very happy.
